1. Introduction

These Terms & Conditions (“Terms”) govern the use of services and products provided by Sapphire Collective LLC (“Company,” “we,” “our,” or “us”). By purchasing, accessing, or using our digital services or materials, you (“Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not purchase, use, or access our services.


2. Eligibility (18+)

You must be at least 18 years old to purchase, access, or use any services or products from Sapphire Collective LLC. By engaging with our services, you represent and warrant that you meet this age requirement.


3. Nature of Services

We provide digital services and products (including social media strategy, paid advertising, personal branding, content creation, consulting, and launch support). All deliverables are provided electronically and are deemed consumed upon delivery.


4. Workflow, Scope & Revisions

Our process:

  1. Request – You submit a service request.
  2. Consultation Call – We schedule a call to understand goals and requirements.
  3. Proposal/Plan – We present a tailored solution, scope, and pricing.
  4. Delivery – We execute and deliver the agreed digital work.
  5. Revision – You are entitled to one (1) round of revisions at no additional cost, limited to the original scope.

Additional Modifications & Out-of-Scope Work

  • Any changes beyond the one included revision require a new invoice before work continues.
  • Any request outside the agreed scope is treated as a new service and invoiced separately.
  • Pricing for additional or out-of-scope work is based on the complexity and resources required.

5. Client Responsibilities

You agree to provide accurate, complete, and timely information and approvals. Delays, omissions, or inaccuracies may impact quality or timelines. We are not liable for delays resulting from your unavailability or late inputs.


6. Payment Terms & Fees

  • We accept payments through PayPal, Stripe, and bank transfers.
  • All invoices must be paid according to the terms specified in the proposal or invoice.
  • All transaction fees, bank fees, currency conversion charges, or payment processor fees are the sole responsibility of the Client.
  • Services may be suspended or withheld until payment is received in full.

7. Refund Policy

All sales are final. Due to the digital nature of our work and services, we do not provide refunds.

Refunds may only be considered on a case-by-case basis and solely at the discretion of Sapphire Collective LLC. Any exception is non-precedential and does not obligate future refunds.


8. Intellectual Property

Unless otherwise stated in the proposal or a separate agreement:

  • Upon full payment, you receive a non-exclusive, non-transferable license to use final deliverables for their intended purpose.
  • Our methods, templates, pre-existing IP, and know-how remain our exclusive property.
  • You are responsible for securing third-party rights (e.g., music, fonts, stock) unless expressly included.

9. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including lost profits, lost data, business interruption) arising from or related to our services.
  • Our total liability for direct damages will not exceed the amount you paid for the specific service giving rise to the claim.
  • We do not guarantee specific outcomes or results, which depend on external factors beyond our control (platform algorithms, market conditions, third-party policies, etc.).

10. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including: acts of God, natural disasters, fire, epidemics/pandemics, war, terrorism, civil unrest, labor disputes, government actions, sanctions, supply chain disruptions, power/internet/telecom failures, or other events of similar nature. Obligations are suspended for the event’s duration.


11. Compliance & Platform Policies

You are responsible for complying with applicable laws and third-party platform terms (e.g., Meta, TikTok, YouTube). We may decline or pause work that violates laws or platform policies.


12. Governing Law & Jurisdiction

These Terms are governed by the laws of the United States of America and the State of Delaware. Any dispute shall be brought exclusively in the state or federal courts located in Delaware, USA.


13. Notices

Official notices must be in writing and addressed to:

Notices we send to you may be delivered by email to your last provided address or via updates posted on our website, and are deemed delivered on the date sent or posted.


14. Privacy

We handle information per our privacy practices. Where applicable, you agree to provide only information you have the right to share and to inform us of any restrictions or confidentiality requirements in advance.


15. Amendments

We may update these Terms at any time. Changes are effective upon posting to our website or notifying you directly. Continued use of our services constitutes acceptance of the updated Terms.


16. Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.


17. Entire Agreement

These Terms, together with any signed proposal or statement of work, constitute the entire agreement between you and Sapphire Collective LLC and supersede prior communications or understandings.
